1. Introduction

Wansport.com is a Platform for finding facilities and booking sporting activities online, which allows users to practise their discipline in centres affiliated with the service, enables Users, sports centres, trainers and organisers of tournaments and events to get in touch quickly, and provides the IT tools for communication and data management for the purchase of services by Users and for the use and management of bookings in various ways.

The Wansport.com Platform is accessible to Users through a website, an application for smartphones and tablets, and any other channels (such as, for example, apps for smart TVs or other similar devices) and is operated by the company Enterprise Digital Solutions s.r.l. (with registered office in Bari, Via Fratelli Mannarino 37, and email address info@wansport.com). These Terms and Conditions establish the legal framework for the use of the services we offer. We therefore ask you to read these Terms and Conditions carefully, because by registering with Wansport.com and using the services we offer you accept all the rules set out below. It will in fact not be possible to register and use Wansport.com’s products and services without accepting them.

These Terms and Conditions will remain valid until the cancellation or amendment, including without notice, of the current version in force from 4 March 2023.

1.1 Key definitions

Platform: means all the tools for communication and operation between Wansport.com, Users and Sports Centres, including, among other things, the “Wansport.com” website, other Wansport.com websites, applications for mobile devices available for example on iOS or Android, and any other tools such as, for example, applications for smart TVs or similar devices.

User: means the person who registers on the Platform in order to make bookings (or in any case not in order to carry out host activity) and who uses the Wansport.com platform to access the resources, offers, courts, events and any sporting and non-sporting activity made available by the sports facilities, and to purchase services.

Sports Centre, Sports Facility or Host: is, by contrast, the natural or legal person who uses the Platform to manage their own business, i.e. to allow the Users associated with it to sell its sporting services, to manage and follow events and tournaments, and to provide the information necessary for the marketing of club memberships, membership fees, courses and subscriptions, bookings of courts, rooms and activities, and any other product or service that the sports organisation is authorised to provide under the laws established in the country/nation in which it operates. The host may therefore be a sports organisation, a gym, a fitness centre, a club, or an individual trainer, coach or instructor identified as a self-employed professional. Each Host affiliated with the Wansport.com Manager service may use the Platform differently depending on the functionalities and procedures made available in the software licence purchased.

Application Stores: these are the virtual stores from which applications may be downloaded and through which it is possible to make purchases and payments or take out subscriptions. For example, these are Apple’s App Store or Google’s Play Store or other stores such as those included in or connected to smart TVs or other similar devices.

Wansport.com Manager: is the management service dedicated to sports facilities for the management of their business, offered under a SaaS licence of use.

2. Subject matter of the contract

2.1 Contracting parties and subject matter of the contract

The Terms and Conditions constitute the basis of the usage contract entered into between the User and our company, Enterprise Digital Solutions s.r.l. (hereinafter also “the company” or “we”). The subject matter of this contract is the use, free of charge or for a fee, of the services offered on the Platform under the name Wansport.com (hereinafter referred to as “Wansport.com Services” or generally “Wansport.com”).

2.2 The role of Wansport.com

Wansport.com services may be listed and sold directly by a Host (including through the Wansport.com Platform) but, where specified, may be sold directly by Wansport.com, as in the case of the Wansport.com Premium subscription service. In the former case, Wansport.com acts as a mere intermediary and provides Hosts with the tools and IT infrastructure useful (among other things) for providing their services, communicating, managing data, managing payments and getting in touch with new customers.

In the former case, the recipient of payments is not Wansport.com but the Host, even where payment is made on the Platform. Wansport.com may in no case be held liable for the content and the services provided by the Host to the User.

2.3 Terms and conditions of participation

Opening a User profile and using the Wansport.com Services requires a minimum age of 18 and full legal capacity.

Wansport.com is aimed exclusively at consumer Users. According to the legal definition, a consumer is any natural person who enters into a legal transaction for reasons that cannot be predominantly attributed to either their commercial occupation or their self-employed occupation. The use of Wansport.com for commercial purposes of any kind is prohibited, save with the specific approval of Enterprise Digital Solutions srl, regulated between the parties by specific agreements.

In addition to the right to amend these agreements, we reserve the right to agree additional and different terms and conditions for individual Wansport.com Services. We will, however, take care to notify these conditions before use.

3. Registration

Use of the Wansport.com Platform requires a one-off free registration. The minimum age for registration is 18 in Italy and the age of majority in other countries. By registering, the User confirms that they meet the age requirements set out in applicable law and that they are therefore legally entitled to enter into contracts. Registration is free of charge and makes available to Users the possibility of accessing the Platform. Wansport.com offers Users various registration methods: through the form on the website, or through one of the Apps. For the purposes of registration, the User must provide the data requested in the relevant registration form completely, truthfully and correctly, unless such data is marked as optional; registration may also take place through Wansport.com’s adoption of registration data provided by the User on the Apple, Facebook or Google social networks. If the latter prove insufficient, the User will be asked to supplement them with the data marked as mandatory in order to complete registration.

Please note that in order to use the Wansport.com Services it is necessary to open a free profile with us and to accept all the clauses of these Terms and Conditions. Registration (and the consequent opening of the profile) results in the conclusion of a contract on the basis of these Terms and Conditions. That contract does not require any payment by the User until they purchase further services.

Registration may only be completed using the User’s real name; for example, it is not possible to indicate fictitious names or pseudonyms. The other personal data provided must likewise be genuine.

Alternatively, it may be possible to open a profile using your Apple, Facebook or Google profile. The registration process will be complete once the information from your Apple, Facebook or Google profile has been entered and after clicking the “Confirm” button.

Registration results in the conclusion of a usage contract between Wansport.com and Users, governed by these conditions.

4. Your Health

4.1 Terms and conditions concerning your health

Use of the Wansport.com Services is at your own risk. The same applies, without any limitation, to the related use of any hardware, including, by way of example and not exhaustively, your smartphone and any other devices used during activities.

The precondition for using the Wansport.com Services is a general condition of good health. We suggest that you consult a doctor in any event before using the Wansport.com services. Furthermore, if you know that you have any pre-existing medical condition, we suggest that you check with a doctor before beginning to use the Wansport.com Services. This applies in particular if you are aware of one or more of the following disorders/conditions/medical procedures: cardiovascular conditions; pulmonary or respiratory conditions (including asthma); spinal and/or joint problems; neuromuscular conditions; surgical procedures; any other health problem.

Our female Users should also bear in mind that it is not appropriate to use certain Wansport.com Services during pregnancy or while breastfeeding.

The following general rule applies: listen to what your body tells you. Before using the Wansport.com Services for the first time, or while you are using Wansport.com, if you have any doubts about your health (for example because you are experiencing pain, general malaise, breathlessness, nausea or dizziness), consult your doctor before starting or continuing the sporting and non-sporting activities available on the Platform and offered by the Wansport.com Services.

4.2 Not a substitute for medical advice

The services and information offered by the Platform and by the Wansport.com Services do not in any way constitute a medical recommendation or medical advice. Nor are they a substitute for medical examinations or treatment.

4.3 Disclaimer of liability relating to health

The health of our Users is very important to us. We invite users ALWAYS to seek advice from their doctor in relation to their sporting habits. Wansport.com is not a substitute for a doctor and is not responsible for Users’ habits. The content of the Wansport.com Platform, whether provided by Wansport.com, by its Hosts or by Users, is not intended to supplement, still less to replace, the information provided by doctors. By accepting these Terms and Conditions, the User confirms that they are solely responsible for their own health.

5. How to use Wansport.com

After registering and accepting the Terms and Conditions, the user may access the Platform and use the Wansport.com Services described below.

5.1 Wansport.com by Host

Wansport.com by Host is a method of providing services to the User by their Host. The Host is a party external to the Wansport.com organisation who, by agreement with the User, creates and offers services in the sporting field, follows up their requests and assists the User.

Payment for the Host’s services delivered through Wansport.com is made directly to the Host. The User is invited by the Host to connect in order to be able to use all the Wansport.com tools and functions for the purposes of managing their services.

The relationship between the User and the Host depends on the specific agreement between them and Wansport.com. In this respect, Wansport.com is extraneous to that relationship, since it merely provides the Platform on which communications and all information may be managed.

5.2 Wansport.com Premium

Wansport.com Premium is a subscription service that includes facilitated access to specific functions of the Wansport.com platform that are not included in the free basic subscription.

During the period of validity of the Wansport.com Premium subscription, the User acquires the right of access to all Wansport.com Premium functions (with the exception of those which may be subject to restricted access or which may be available in the country of residence).

5.2.1 Wansport.com Premium subscription

The Wansport.com Premium Services are subject to payment by subscription, save for any free trial period that may be provided. Each natural person may benefit from the free trial period only once.

After registering, the User may choose which Subscription to activate from among those offered. Wansport.com offers various subscription periods to allow the User to choose the one that best meets their needs. The different types of Subscription, the applicable prices and any additional conditions and rules are available in the app, in the Application Stores and on the website, and are subject to variation on the basis of the offers active in each specific period. All prices are subject to change at any time at Wansport.com’s discretion.

In certain cases, pre-order subscriptions may be offered, in which case the subscription period will not start immediately and the service will not be active immediately, but will take effect from the date indicated.

Wansport.com reserves the right to make changes to prices in line with its commercial and financial needs and with changes to the services included in the Subscription. Changes will be communicated in advance and will not take effect for Subscription periods already paid for, but only upon the subsequent renewal. The prices indicated include all charges and ancillary costs, where applicable.

5.2.2 Activation of Wansport.com Premium subscription services

The Wansport.com Premium Services are sold with a Subscription. The duration of the Subscription, the price and the related content of the services are set out in the app and/or on the site at the time of purchase. Certain Subscriptions may indicate a free trial period, in which case the User may have to pre-authorise the payment, which will then be processed at the end of the trial period (in the absence of withdrawal).

Once the purchase has been made, the details will be available to the User within the Platform and a purchase confirmation will be sent by email.

The subscription may be taken out directly on the website or within the Application Stores (such as, for example, Apple’s App Store or Google’s Play Store or others). In the case of a subscription through the Application Stores, the subscription and payment are managed directly by Apple or Google (or by the operator of the relevant store) on the basis of the rules and contractual conditions applied by them and supplemented by these Terms and Conditions.

When purchasing a Subscription, the contract is finalised by clicking the “Buy” button or a similar button, and by correctly entering the payment details. Where necessary, the contract may be finalised upon entry of the password for the Application Store in question.

If the User wishes to purchase a Subscription on our website, they may interrupt the process at any time and correct any errors up until the moment the payment information is entered.

If the User wishes to purchase a Subscription through our mobile app as part of an in-app purchase, it may not be necessary to provide further billing or payment information, since the service will be purchased through your profile with the Application Store operator. You may contact the provider of the relevant Application Store if you wish to correct any errors in the data entered.

In the event of non-payment, the service will not be activated or will be suspended if already active. We reserve the right to further claims in the event of late payment. If Wansport.com is unable to collect the amount due from the User because of insufficient funds, or another problem attributable to the User, the latter is required to bear all resulting costs, including bank charges relating to any debit items or associated fees. Wansport.com may send the User invoices and payment reminders by email.

5.2.3 Duration of the Wansport.com Premium subscription and automatic renewal

Our Subscriptions have different minimum periods of validity and renew automatically for the same period selected until cancelled by the User or by us.

To avoid misunderstandings, please remember that the terms of a Subscription are established according to the calendar and irrespective of the User’s use, or duration of use, of the respective Wansport.com Service.

The Subscription renews automatically; consequently, the amount due is charged in advance at the start of the respective renewal period. Specific terms and conditions apply in the case of payments through the Application Stores; in this case the amount may be charged as early as 48 hours before the start of the respective billing period.

At the expiry of the Subscription period, the User’s credit card will automatically be charged the price of the standard Subscription in force at the time of subscribing (unless otherwise indicated), meaning that in this case the prices of any special offers will not apply, and the Subscription will be renewed for the same period of time, unless the User requests cancellation in the ways set out below. The standard price of the Subscription may be consulted on the Platform or on the Application Stores.

If you wish to disable renewal, you may cancel the subscription at any time by initiating cancellation on the Platform or through the Application Stores.

In the case of a subscription through our website, cancellation of the subscription must be carried out by 11:59 p.m. on the day preceding renewal.

In the case of a subscription through Apple’s App Store, you will need to follow the subscription cancellation procedure established by the App Store.

In the case of a subscription through Google Play, you will need to follow the subscription cancellation procedure established by Google Play.

The Subscription will remain active for the period already paid for and therefore until the date scheduled for renewal. Wansport.com will not refund amounts previously paid, without prejudice to the consumer’s right of withdrawal described below.

5.2.4 Payment terms and conditions

Payment for the Wansport.com Premium subscription must be made in advance for each subscription period. In other words, it is possible to select the Subscription duration that best meets your needs for access to the services. Once the Subscription has been taken out and paid for, the selected period of validity will be associated with the User’s account.

In the event of non-payment, the service will not be activated or will be suspended if already active.

We reserve the right to further claims in the event of late payment.

If Wansport.com is unable to collect the amount due from an account indicated by the User because of insufficient funds, or another problem attributable to the User, the latter is required to bear all resulting costs, including bank charges relating to any debit items or associated fees. Wansport.com may send the User invoices and payment reminders by email.

If the User purchases paid Wansport.com services through an app, billing will be carried out by the operator of the respective Application Store (for example Apple for the App Store and Google for Google Play). You may consult the provider to find out which payment methods are available. If the user purchases Wansport.com services through our site, they will find a summary of the payment methods we accept on the site itself at the time of payment.

We reserve the right to refrain from offering certain payment methods and to specify alternative payment methods.

5.2.5 Special offers and promotions

Wansport.com may offer a variety of offers, discounts and promotions, such as loyalty programmes. Wansport.com Users are informed of the offers and their status through the site, through newsletters or by other means. Offers are not an integral part of Wansport.com products and usually have a limited duration. Specific conditions apply to offers, which may be consulted for the purposes of participation or for information purposes only.

5.2.6 Special services

Certain services offered may be governed by particular conditions.

For example, certain Services may be sold separately by Wansport.com or linked to specific promotions, limited offers or scheduled events. The details relating to special services are described on the relevant pages of the platform. All liability (direct, indirect or related) relating to their performance will in any event remain with the Host involved in providing the service to the User.

5.3 Free gifts

Promotions of paid or subscription Wansport.com services may provide, in addition to the service, for the sending of free gifts. Any provision of a free gift is governed by the promotions published on the Platform from time to time. Such gifts will be shipped to the address indicated by the User at registration or to that provided at Wansport.com’s request.

5.4 Wansport.com Premium Gift Cards and Discount Codes

5.4.1 Purchase of Gift Cards

On the Wansport.com Platform it is possible, during certain periods, to purchase Wansport.com Premium Gift Cards. The Gift Card includes a code that may be used by anyone to activate a new Wansport.com Premium subscription. The Gift Card may have a value expressed in time (for example one month of Wansport.com Premium free) or a value in the form of a discount on the subscription price (for example a €5 discount on the Wansport.com Premium subscription). The Gift Card is issued following purchase and the related payment and may be sent directly to the recipient or printed and delivered by hand. As with other purchases on the Platform, the User making the purchase accepts these Terms and Conditions. Gift Cards may only be used for the activation of new subscriptions and are not compatible with the free trial period. Gift Cards are valid for one year unless otherwise specified.

5.4.2 Use of the Gift Card

Anyone in possession of the Gift Card code may activate the related subscription, and once used, the Gift Card may not be reused; it is therefore the User’s responsibility to keep the code confidential and to disclose it only to the recipient. A User wishing to use the Gift Card must go to the relevant section of the Platform, register with Wansport.com (if not already registered) and accept these Terms and Conditions. Further characteristics, values, limits and rules of Gift Cards are indicated in the section of the Platform dedicated to the purchase itself.

5.4.3 Discount Codes

The Discount Code (or Wansport.com Voucher) is a code that may be used by anyone entitled to it in order to activate a new Wansport.com Premium subscription. The Discount Code may have a value expressed in time (for example one month of Wansport.com Premium free) or a value in the form of a discount on the subscription price (for example a €5 discount on the Wansport.com Premium subscription).

Discount Codes are not purchased through e-commerce but are negotiated specifically with Wansport.com (for example with companies for their employees or customers) and the relevant conditions are defined in those direct agreements.

Anyone in possession of the Discount Code may redeem the related credit until the maximum number of uses under the agreement with Wansport.com is exhausted. The customer is required to deliver the Discount Code only to the parties defined in the agreement with Wansport.com (for example, a Discount Code purchased by a company for its employees may only be delivered to employees). It is in any event the responsibility of the customer and of the User to keep the code confidential and to disclose it only to authorised parties. A User wishing to use the Discount Code must go to the relevant section of the Platform, register with Wansport.com (if not already registered) and accept these Terms and Conditions. Further characteristics, values, limits and rules of the Discount Code may be contained in the agreement with Wansport.com. In the event of a breach of the agreement with Wansport.com by the customer who acquired the Discount Code, it may be deactivated immediately and the related subscriptions suspended. Discount Codes are not compatible with the free trial period.

6. Consumer’s right of withdrawal

Wansport.com services are offered to consumers and you therefore have the right to withdraw from the contract, without giving reasons, within 14 days, subject to the exclusions and limits set out below. The withdrawal period expires 14 days after the conclusion of the contract or of the individual purchase.

In the case of purchase of services through Application Stores, the right of withdrawal must be exercised through the Application Store itself and in the ways indicated there. The procedures for exercising withdrawal on the Application Stores may change over time and the User may refer to what is indicated there. As regards Apple’s App Store, we suggest using the “report a problem” link or contacting iTunes support depending on the type of purchase, or contacting Apple directly (Apple Distribution International Ltd., iTunes Store Customer Support, Hollyhill Industrial Estate, Hollyhill, Cork, Republic of Ireland). As regards Google Play, we suggest accessing your purchase history and selecting “request a refund” or “report a problem”, or contacting Google directly.

In the case of a purchase made directly on the Wansport.com site (and not through the Application Stores), in order to exercise the right of withdrawal you must inform Wansport.com of your decision to withdraw from the purchase contract by means of an explicit statement, for example a letter sent by post or by email to the following addresses: Enterprise Digital Solutions s.r.l., Vico Modugno strada Privata Perrini, 70032 Bitonto (BA), Italy, Email: subscription@wansport.com. For this purpose you may use the model withdrawal form set out below, but this is not mandatory. We will send you an acknowledgement of receipt of the withdrawal without delay (by email). In order to meet the withdrawal deadline, it is sufficient to send the communication concerning the exercise of the right of withdrawal before the expiry of the withdrawal period.

6.1 Effects of withdrawal

If the User withdraws from this contract, all payments they have made to us will be refunded, without undue delay and in any event no later than 14 days from the day on which we are informed of your decision to withdraw from this contract. Such refunds will be made using the same means of payment used for the initial transaction, unless the User has expressly agreed otherwise; in any event, the User will not incur any costs as a consequence of such refund.

If the User exercises the right of withdrawal after having requested that the provision of services begin during the withdrawal period, they are required to pay Wansport.com an amount proportionate to what has been supplied up to the time they communicated their withdrawal from this contract, in relation to all the services provided for in the contract. The proportionate amount that the consumer must pay is calculated on the basis of the total price agreed in the contract. If that total price is excessive, the proportionate amount is calculated on the basis of the market value of what has been supplied.

Withdrawal is excluded after the service has been fully performed, if performance began with the User’s express agreement and with acknowledgement of the loss of the right of withdrawal following full performance of the contract.

The right of withdrawal is also excluded in cases of the supply of services and goods made to measure or clearly personalised.

In any event, different rules may apply to purchases made through Application Stores.

6.2 Withdrawal form

In order to facilitate the right of withdrawal as far as possible and to avoid any complaints, we provide the withdrawal form below, to be used to withdraw from purchases made directly on the Wansport.com site and not on the App Stores.

7. Liability

It is essential to comply with any guidelines or instructions provided in respect of the services delivered by the Host or, in certain cases, by Wansport.com.

The practice of certain sporting disciplines, in particular for example extreme sports, must be considered a danger to health.

If the User uses sports equipment or apparatus (whether their own or made available by the Host), it is their responsibility to ensure that such equipment and apparatus is in good working order and that the installations are correctly set up.

The User must observe and comply with the health protection guidance set out above.

Statutory rules apply to claims relating to defects in the services. Consumer rights are guaranteed in any event.

It is neither implied nor guaranteed that use of the Wansport.com Services will lead to the results (sporting or otherwise) or to other outcomes that you hope for. We do not promise that such services are complete and free of defects or that they represent a concrete achievement of success for the User. Furthermore, actual results depend on factors beyond the control of Wansport.com or of the Hosts, which may affect the User’s condition, such as physical predisposition and pre-existing conditions. Results may therefore differ considerably between different people despite their common use of the Wansport.com Services.

7.1 Disclaimer of liability

In light of the type of services offered (which are limited to making software and digital content available and to managing certain personal data), Wansport.com disclaims all liability for any damage the User may suffer while using the services, save as provided by law.

To the extent that our liability is excluded or limited, such exclusion or limitation also applies to our employees or agents.

It is for Users to carry out such checks as they consider necessary or appropriate before using the Platform’s services. Wansport.com offers no warranties of any kind in relation to the services and/or commercial practices of third parties present on the Platform. Consequently, Wansport.com does not guarantee that Users will be satisfied with the products, services and/or commercial practices experienced as a result of using the Platform.

Wansport.com is not responsible for anything written directly by users within the public chat.

7.2 Availability of services and errors

Wansport.com does not represent or warrant that the Wansport.com Services will always be available or that the Products in question and the necessary hardware and software are entirely free of errors.

Owing to the specific nature of the Internet and of information services, Wansport.com does not guarantee uninterrupted access to the Platform or continuity of service; Wansport.com’s only obligation is to make reasonable efforts in this regard. Wansport.com will not be liable for any failure to access the Platform or for any damage or loss arising from the use or non-use of the Platform or its content, except as provided by law. Wansport.com does not guarantee that the information displayed is detailed, complete, verified or accurate. The Trainers’ services, the information and, in general, all content on the Platform are provided “as they appear” without express or implied warranties of any kind. Users expressly acknowledge that the photos on the Platform are not of a contractual nature. However, since Wansport.com cannot physically verify the accuracy of the information collected and/or provided by the Trainers, Users agree that Wansport.com cannot be held liable if Users are unable to enjoy the Hosts’ services. Thus, by way of example and without limitation, Users acknowledge and accept that Wansport.com is in no way liable for cancelled services or if the Host refuses to provide a service for any reason.

Users warrant that they are fully familiar with the characteristics and limitations of the Internet and of IT services and tools. In particular, they acknowledge that it is impossible to guarantee that data sent by Users over the Internet is entirely secure. Wansport.com cannot be held liable for any incidents arising from such data transmission. Users agree to hold Wansport.com harmless from liabilities, damages, expenses, claims or costs arising from complaints or disputes, including judicial ones, in relation to the use of the Platform’s services. In any event, Users explicitly acknowledge and agree to use the Platform at their own risk and under their sole responsibility.

7.3 Sole liability of the Host for the Wansport.com by Host activity

Wansport.com is not responsible for the services provided directly by the Host. Where the User connects their profile to a Host, the latter will have the ability to modify or create membership plans, prices, courses, subscriptions, rules, products and services. The agreement between the User and the Host takes place without any role on the part of Wansport.com, which remains entirely extraneous to it (without even knowing its content) and immune from any liability relating to the Host’s activity.

The Host is external to the Wansport.com organisation, which provides no warranty as to its professionalism and qualifications, nor as to the actual performance of the Host’s services. The Wansport.com platform provides only the tools for communication and for the management of services for sports centres, remaining entirely extraneous to the relationship between the User and the Host, which remains solely responsible for its own conduct. Wansport.com does not carry out (and is not required to carry out) any verification or monitoring activity in respect of Hosts (or their identity or suitability), nor any control or moderation.

Wansport.com accepts no liability as regards the validity and correctness of the content, suggestions and advice of the Host provided through the Platform.

Unless otherwise specified, the services are provided directly by the Host and Wansport.com is in no way responsible for the provision of the service by the Host, nor for the quality and safety of the service. Wansport.com provides solely the IT Platform for the purchase of services, the management of training sessions, communication and the exchange and management of information.

8. Rights of use over Wansport.com content

Wansport.com is a trademark registered by Enterprise Digital Solutions s.r.l.

The services we offer may contain content protected by copyright or otherwise, and to which we hold the rights. We nevertheless grant a non-exclusive and non-transferable right to use this content for non-commercial purposes within the scope of the contractual clauses. For the avoidance of doubt, we point out in particular that it is not permitted to save such content or to distribute or disseminate it by any means, or to publish it, e.g. on other sites or by email, file sharing or messaging services. The right of use lapses upon deactivation of your access to the corresponding service (e.g. after cancelling your Subscription) or at the end of the usage contract.

The User agrees and acknowledges that the Platform, the content and any Software used to provide the Service are the property of Wansport.com. The Software contains confidential and reserved information and is protected by the laws in force on copyright, trade secrets and other intellectual property rights (Protected Materials). The reproduction, distribution or transmission of the Software and of the Protected Materials is therefore prohibited.

Any reproduction, modification, processing, redistribution or retransmission of the Software will result in Wansport.com taking legal action in both civil and criminal proceedings. The Software, its writing, sequence, organisation and source code are considered covered by trade secret and are protected by law.

Without prejudice to the foregoing, the copying or reproduction of the Software on any other server or location for further reproduction or redistribution is prohibited.

When the User submits ideas, suggestions, documents and/or proposals (hereinafter the “Contributions”) to Wansport.com through the relevant pages dedicated to suggestions or feedback, the User accepts and undertakes that:

  • the Contributions provided do not contain confidential or protected information;
  • com will have no obligation of confidentiality, express or implied, in relation to the Contributions;
  • com will have the right to use or disclose (as well as to choose not to use or not to disclose) such Contributions for any purpose, in any manner and by any means, worldwide;
  • com may already have ideas similar to the Contributions provided, under evaluation or in development;
  • except in cases expressly prohibited by applicable law, the User’s Contributions will automatically become the property of Wansport.com without Wansport.com assuming any obligation towards the User, and the User will waive all related moral rights and rights of economic exploitation;
  • the User will not be entitled to any compensation or reimbursement from Wansport.com in any circumstances.

9. Wansport.com’s rights

Wansport.com reserves the right to refuse Users without providing explanations. In this case, the data transmitted will be immediately deleted. Should the User provide false, inaccurate, out-of-date or incomplete data, or should Wansport.com have reasonable grounds to suspect that such data is false, inaccurate, out-of-date or incomplete, Wansport.com has the right to suspend or close the account of the User in question immediately and without notice and to refuse any current or future use of the services, without the registered User being entitled to a refund of any amount previously paid. In any event, Wansport.com reserves the right to contact the User at any time to verify the registration data.

Wansport.com reserves the right to modify options or functionalities present in the Apps and on the websites or generally on the platform. In most cases Wansport.com makes changes to the Apps, the websites or generally the platform in order to enhance or improve them. Even to the extent that the changes do not have a concrete positive effect on the User’s use of the App, Wansport.com will not refund amounts previously paid, unless otherwise indicated.

Wansport.com reserves the right to sell, license and/or publish any advertising, attribution, linking, promotional and/or distribution rights in relation to the Content. Wansport.com has the right to retain all profit generated by the sale or licensing of such advertising, attribution, linking, promotional or distribution rights.

Agreements entered into by the User with advertisers found through the Wansport.com Services, including participation in promotions or the payment for and delivery of goods or services, as well as any other terms, conditions or warranties associated with such agreements, concern exclusively the User and the advertiser. To the maximum extent permitted by applicable law, the User accepts that Wansport.com will not be liable for any loss or damage of any kind arising from such agreements or from the presence of advertisers in the Wansport.com service.

10. Prohibitions for the User

The User is expressly prohibited from copying, reproducing, redistributing, modifying or otherwise interfering with the software or computer code of the Platform or with the content present on it.

The user undertakes to use the Platform only for private and personal use and therefore not for commercial or industrial purposes or for any other different purpose (in particular, but without limitation, for dangerous activities or medical activities).

It is prohibited to license, sell, rent, transfer or issue the Services in any form or to use them for other commercial purposes. Owing to the limitations of the Platform and of the software adaptation terminals, it is possible to use the Services only within the Platform and in the ways defined by Wansport.com. Unauthorised use could damage the hardware or software function. The User acknowledges that they may use the Platform and the Services only for non-commercial purposes. The User must use the licensed software in a normal manner.

The following activities (indicated by way of example and not exhaustively) are prohibited and the user will be liable to Wansport.com for damage caused to it:

  1. issuing or sharing computer viruses, worms, malicious code or software that deliberately damage or alter the system or data of the Platform;
  2. collecting information or data of other Users and Hosts without authorisation, for example information on the content offered by the Hosts present and on other registered users and the like;
  3. using the Platform fraudulently or maliciously or in an automated manner, or causing server overload or interfering with or damaging server and network connections in other ways;
  4. copying part of the Platform or part of its code into other applications, sites or Services;
  5. interfering with, modifying, damaging or corrupting part of the Platform or part of its code;
  6. attempting to access server data or product communication data without authorisation;
  7. using the Platform without having verified that one’s device is free of viruses;
  8. interfering with or damaging the Platform;
  9. directly contacting a Host found within the platform in order to circumvent Wansport.com’s business, service or rules;
  10. in using the platform and the public chat, conveying discriminatory, political or otherwise irrelevant messages, using vulgar, blasphemous, offensive or discriminatory language or expressions, advertising or displaying trademarks without authorisation, doing or saying anything unrelated to the activity or that may in any way offend users’ sensibilities or harm, even indirectly, Wansport.com’s image;
  11. saving, copying, retransmitting, modifying, distributing or disseminating any content of the Platform (images, audio, video, text, code, etc.).

The User undertakes not to engage in any act in breach of the law or in improper conduct while using the Service. Such acts and conduct include (among others):

  • unauthorised uploading, transfer or sharing of information;
  • opposition to the fundamental principles determined by law;
  • dissemination of obscenity, pornographic content, gambling, violence, murder and terror, or aiding and abetting a crime;
  • insulting or slandering others and infringing the legal rights and interests of others;
  • elements of fabrication, fraud, harm, threat, infringement of the privacy of others, harassment, infringements, slander, crudeness, indecency or morally repugnant content;
  • other elements subject to restrictions or prohibited by applicable laws, regulations, rules, provisions and other legal standards.

11. Anti-fraud protection

The User is required to protect their account from unauthorised access and fraudulent use. We therefore invite the User to notify us promptly by email at info@wansport.com of any unauthorised or fraudulent use of their account, or any suspicion that their personal account may be at risk. Wansport.com has the right to close or delete the account of any registered User in the event of unauthorised or fraudulent use of the account.

12. Content uploaded by the User

Wansport.com’s services include the ability for the User to upload their own information and documents. In this regard, Wansport.com will save such files on its servers and make them available to the User through the application.

Only in the case of voluntary association by the User with the Host will such personal information be transferred from the Platform to the Host for the management of the request made by the User. The Host becomes the controller of the data provided to it by the User for the provision of the services purchased from the Host, including through the Wansport.com Platform.

The User may, where possible, delete such information from the Wansport.com databases.

12.1 Protection of uploaded images

Wansport.com offers a high level of IT protection against unwanted access to the images stored in its databases but (save for mandatory provisions of law to the contrary) accepts no liability in the event that third parties succeed in accessing the images by means that are unforeseeable and such that they could not reasonably be prevented. Furthermore, it is the User’s responsibility to keep their profile access credentials confidential, since these allow access to the images and other information. Wansport.com accepts no liability in the event of unwanted access to the profile and its content that occurs through the correct credentials, or in the event of unwanted sharing of that content by the Host.

12.2 Prohibition on uploading images of third parties, prohibited or offensive images, or nude images

The User is absolutely prohibited from uploading images of other people or from uploading images whose use or possession is prohibited by law or which are offensive, and in all cases the inclusion of nude images is prohibited.

Irrespective of whether this constitutes a criminal offence, it is generally prohibited to upload content of a pornographic, sexual, violent, racist, seditious, discriminatory, adult-only, offensive and/or defamatory nature.

In publishing your content, you are required to comply with all applicable rules and laws.

The User is also required to refrain from infringing the rights of third parties. This applies in particular to the personal rights of third parties and to third-party intellectual property rights (e.g. copyright and trademark rights). In particular, they must respect the necessary rights for the images uploaded.

The viewing of images by Wansport.com and its employees and collaborators is limited in accordance with privacy legislation and therefore no moderation activity is carried out. Wansport.com’s sole activity consists, by IT means, in storing the images and making them available to the same User who uploaded them.

We are entitled at any time and without notice to delete or remove content that is unlawful or that breaches the principles set out above. In the event of a breach of the principles set out above, we reserve the right to issue you a warning, temporarily block your User profile, or terminate the usage contract for good cause in accordance with this clause.

12.3 Liability of the User for images

By uploading images, the User assumes all liability in relation to them, acknowledges that they are lawfully in possession of them, releases Wansport.com from all liability towards them and expressly indemnifies Wansport.com against any liability towards third parties.

The User is required to compensate Wansport.com for all third-party claims arising from an infringement of their rights by the User in relation to uploaded content. The User is also required to bear the costs of all legal proceedings in which Wansport.com may become involved in relation to the aforementioned claims, including all litigation costs and legal fees to the maximum extent permitted by law, unless their liability for such infringement has been expressly excluded.

Should a claim be brought by third parties, the User must promptly and accurately provide Wansport.com with all information available to the User that may be necessary to verify the claim and prepare a defence. This provision is without prejudice to any further claims for damages that Wansport.com may bring against the User.

13. Duration, termination and cancellation

The User has the right to delete their User profile at any time, without having to give a reason, thereby simultaneously also terminating your usage contract. To do so, it will be enough simply to select the appropriate settings on your profile. Please note that once you have deleted your User profile, we will delete, or may delete, all the content and results you have added, and you will no longer be able to access the content you have already purchased. If, at the time of profile deletion, there is a service that has not yet ended, the sums already paid will not be refunded, not even on a pro-rata basis.

We reserve the right to terminate a usage contract without having to give any reason, but not before the periods for benefiting from the services purchased have expired.

The right of termination for good cause remains valid for both parties. In particular, we reserve the right to terminate your usage contract or Subscription with immediate effect and to delete the User profile in the event of a breach — including one that is not serious, or a repeated breach — of the clauses of the usage contract and/or of the Terms and Conditions, or in the event of late payment.

14. Personal data

Our company manages the User’s personal data in accordance with our privacy policies, the updated version of which is available on the platform. These privacy protection rules govern and explain, in particular, which personal data may be viewed by other Users and which options are available to you to control disclosure to other Users.

If the User does not connect their profile to a Host, the data will be visible only to the User and will not be shared with anyone, save as necessary for the provision of the Services as described more fully in the Privacy Policy.

If the User connects their profile to a Host, the latter will be able to access certain personal information including: first name, surname, nationality, preferred language, sex, telephone, email address, profile picture, date of birth, weight (with changes over time), height, playing preferences, playing levels, profile statistics, and type of Wansport.com Premium subscription.

15. Consent to data processing

By concluding the contract for Wansport.com, the User accepts that, with immediate effect and for as long as they do not make any changes to the privacy settings, Wansport.com will manage the data as described in these Terms and Conditions and in the Privacy Policy.

In providing the services supplied through the “Wansport” App, owned by Enterprise Digital Solutions S.r.l., the Controller makes use of artificial intelligence (“AI”) systems developed and supplied by carefully selected third parties, in order to support the performance of operational, administrative, management, commercial and user-support processes.

AI systems may be used to:

  • support user registration and the creation or updating of the relevant profiles;
  • analyse the information entered by users and the data relating to the use of the App;
  • optimise the management of sports facility bookings and their availability;
  • produce reports, statistics, predictive analyses and management decision-support tools;
  • support the administrative and accounting activities carried out through the App;
  • improve the quality, security and performance of the services offered;
  • personalise content, suggestions, communications and commercial offers;
  • prevent anomalous or fraudulent use, or use contrary to the service’s terms of use.

AI systems may process personal data, identification data, booking-related data, App usage data, professional data of economic operators, administrative and accounting information entered by users, as well as any other information processed within the scope of the services requested.

The data will be processed exclusively within the limits necessary for the pursuit of the purposes indicated in this Information Notice and in compliance with the principles of lawfulness, fairness, transparency, minimisation and proportionality laid down by the GDPR.

The user is informed that certain functionalities of the App may involve direct interaction with artificial intelligence systems, or the generation, processing or formulation of content, suggestions, analyses or recommendations by means of such systems.

In the cases provided for by applicable legislation, the Controller will provide users with clear and comprehensible information on the use of artificial intelligence and the nature of the content or outputs generated.

For specific functionalities of the App, AI systems may contribute to the adoption of automated or semi-automated decisions concerning, by way of example, the management of bookings, the assignment of operational priorities, the formulation of management suggestions, the detection of anomalies, fraud prevention or the provision of personalised services.

Where a decision is based solely on automated processing and produces legal effects concerning the data subject or similarly significantly affects them, the processing will be carried out in compliance with Article 22 of Regulation (EU) 2016/679 (GDPR) and further applicable provisions. In such cases the data subject will have the right to obtain human intervention, to express their point of view, to request a review of the decision and to contest its outcome.

AI systems may be used to carry out profiling activities based on preferences, interests, ways of using the App, booking history and interactions with the services offered, in order to improve the user experience and personalise commercial communications, promotional offers and marketing initiatives.

Where required by applicable legislation, such processing will be carried out subject to the data subject’s consent, freely given and revocable at any time.

For the provision of artificial-intelligence-based functionalities, the Controller may make use of qualified third-party suppliers acting as data processors or independent controllers, according to their respective roles and the arrangements indicated in this Information Notice.

Where the processing involves transfers of personal data to third countries, such transfers will be carried out in compliance with Articles 44 et seq. of the GDPR and with the safeguards provided for by applicable European legislation.

The Controller adopts technical, organisational and procedural measures aimed at ensuring that the use of artificial intelligence systems takes place in compliance with Regulation (EU) 2024/1689 (AI Act), including the transparency, human oversight, risk management and monitoring measures required in relation to the specific functionalities implemented.

16. Online dispute resolution

Wansport.com informs Users who qualify as consumers under Article 3(1)(a) of the Italian Consumer Code that a European platform for the online resolution of consumer disputes (the “ODR platform”) has been established. The ODR platform may be consulted at the following address https://ec.europa.eu/consumers/odr/ and through it the consumer User may consult the list of ADR bodies, find the link to each of their websites and initiate an online dispute resolution procedure in a dispute in which they are involved.

We are neither willing nor obliged to take part in a dispute resolution procedure before a consumer arbitration body. Our email address is set out in these Terms and Conditions.

17. Amendments to the Terms and Conditions

We reserve the right to amend and adapt these Terms and Conditions with future effect; such changes will in any event be made in good faith and with due regard for your interests. We will inform the User of the changes by email (at the address provided at registration) at the latest two weeks before the expected entry into force of the new Terms and Conditions. In the absence of objections to the validity of the new Terms and Conditions within this period, and by continuing to use Wansport.com, the new Terms and Conditions will be deemed accepted. In the event of non-acceptance, we expressly reserve the right to terminate the contract.

18. Applicable law, language and jurisdiction

The relationship between the parties is governed by Italian law, with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). As regards commercial transactions with customers within the European Union, the law of the consumer’s country of sale may also apply, but only if it contains provisions on consumer rules that must mandatorily be applied.

The language of the contract is Italian.

Save as otherwise provided by law (including the provisions relating to the jurisdiction of the consumer’s forum), in the event of a dispute the Court of Bari shall have jurisdiction.

19. Severability clause

Should any of the clauses of the Terms and Conditions be or become wholly or partly invalid, this will not affect the remaining clauses.
